Terms of Service

These Terms of Service ("Terms") govern your access to and use of Universal Guardrail software ("Software"), provided by Universal Guardrail Ltd ("Company", "we", "us"). By installing, configuring, or using the Software, you agree to be bound by these Terms.

1. License Grant

Subject to your payment of applicable fees and compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and run the Software within your own cloud or on-premises infrastructure
• Use the Software solely to protect your own AI applications and workflows
• Modify the guard_config.yaml configuration file for your operational requirements

2. Restrictions

You may not, and you may not permit others to:

• Sublicense, sell, resell, transfer, assign, or commercially exploit the Software to third parties
• White-label or rebrand the Software without an Enterprise license agreement
• Reverse engineer, decompile, or disassemble the Software beyond what is required for integration
• Remove or obscure any copyright, trademark, or proprietary notices
• Use the Software to build a competing AI security product or service
• Use the Software for any unlawful purpose or in violation of applicable regulations

3. Subscription and Payment

Access to the Software is provided on a subscription basis. Fees are billed in advance on a monthly or annual basis as selected at purchase. All fees are non-refundable except as required by applicable law. Failure to pay fees may result in suspension or termination of your license.

4. Data and Privacy

The Software is designed to run entirely within your infrastructure. We do not have access to your prompt data, audit logs, or the AI interactions processed by the Software. Your data remains on your servers at all times. Please review our Privacy Policy for information about data collected through our marketing website and sales process.

5. Support and Updates

Support is provided according to the tier of your subscription:

• Developer: Community forum and public documentation only
• Business: Email support with 2 business day response SLA
• Enterprise: Dedicated Customer Success Manager and custom SLA as agreed in the Order Form

Software updates are provided throughout your subscription period. The Company reserves the right to modify features with reasonable notice.

6. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information designated as confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL DETECT ALL THREATS OR OPERATE ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

9. Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days. Upon termination, your license to use the Software ends immediately and you must cease all use and delete all copies.

10. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Software dashboard. Continued use of the Software after the effective date of the updated Terms constitutes your acceptance.
