Commercial Software License

This Commercial Software License ("License") governs your rights to use the Universal Guardrail software ("Software"). By purchasing a subscription, you are granted a license according to the tier described below.

Grant of License
Subject to the payment of applicable subscription fees, Universal Guardrail Ltd grants you a non-exclusive, non-transferable, revocable license to:
- Run the Software as a Docker container on your own infrastructure or cloud environment
- Configure the Software via the
guard_config.yamlfile for your operational needs - Integrate the Software API into your internal applications
- Access the SOC dashboard for monitoring purposes
Restrictions
- You may not sublicense, resell, or distribute the Software to third parties
- You may not use the Software to build a competing AI security product
- White-labelling requires an Enterprise license with a separately executed addendum
- You may not remove, alter, or obscure copyright notices
- Exceeding the deployment or seat limits of your tier requires an upgrade
Open Source Components
The Software incorporates open-source libraries including but not limited to FastAPI (MIT), sentence-transformers (Apache 2.0), and React (MIT). Use of these components remains governed by their respective licenses. A full bill of materials (BOM) is available on request.
License Key
Each subscription includes a license key issued to the registered account email. The license key is required to authenticate Docker image pulls and API access. License keys are non-transferable and must not be shared outside your organisation.
Audit Rights
The Company reserves the right to audit your use of the Software upon 14 days' written notice to verify compliance with the applicable license tier limits.
Term and Termination
This License is valid for the duration of your active subscription. Upon expiry or termination of the subscription, your license to deploy and use the Software ceases. You must remove all deployed instances within 30 days of termination.
